Welcome to MusicDB, an Italy-based online music distribution platform. By accessing or using our services, you agree to these Terms & Conditions (“Terms”). If you do not accept them, please refrain from using the Platform.

1) Definitions

  • Platform: The MusicDB website, applications, and services.
  • User: Any person or entity registering, using, or accessing the Platform.
  • Artist: A User who submits music through the Platform.
  • Record Label: An entity representing artists and/or distributing their music.
  • Content: Audio recordings, compositions, metadata, artwork, images, video, text, and other materials submitted to the Platform.

2) Eligibility & Account

  • Users must be at least 18 years old, or have verifiable consent of a legal guardian.
  • Users must provide accurate, complete registration information and keep it updated.
  • Use of the Platform must comply with applicable Italian and EU laws (including copyright and privacy laws).

3) Licenses, Rights & Distribution

  • Ownership: You retain all ownership in your Content. Under Italian law, authors’ moral rights (e.g., attribution and integrity) are perpetual and cannot be waived or assigned.
  • License to Platform: You grant MusicDB a Exclusive, worldwide, royalty-free, transferable and sublicensable license to host, reproduce, distribute, publicly perform, display, promote, market, and monetize the Content through digital service providers (DSPs) and other partners for as long as the Content remains uploaded to the Platform.
  • Takedown/Removal: You may request removal of Content at any time. MusicDB will make commercially reasonable efforts to process takedowns with distribution partners; some latency may occur due to third-party schedules.
  • Refusal/Suspension: MusicDB may refuse, suspend, or remove Content that appears to violate law, third-party rights, or these Terms.

4) Revenue, Fees & Payments

  • Net Revenue: Amounts received by MusicDB from DSPs/partners for your Content, minus platform and distributor fees, chargebacks, refunds, and applicable taxes/withholdings per law.
  • Payouts: Paid monthly (subject to a minimum payout threshold disclosed in your dashboard) to the payment method you provide. You are responsible for keeping payout details accurate.
  • Taxes: Taxes and withholding will be applied as required under Italian/EU law. You are responsible for your own tax filings.
  • Statements: MusicDB may provide periodic statements or dashboards detailing reported usage and revenue from partners; these may be revised if partners issue corrections.

5) Content Guidelines

You must own or control all rights necessary to distribute the Content (including sound recordings, musical works, artwork, samples, and performances) and must have obtained all licenses, permissions, and clearances.

  • No infringement of copyrights, trademarks, or other rights.
  • No content that is defamatory, hateful, obscene, or otherwise unlawful.
  • No privacy or personality-rights violations (including unauthorized use of names/likenesses).
  • No misleading, fraudulent, or deceptive information.
  • No malware, spam, or technical abuse of the Platform.

6) Service Use & Changes

  • MusicDB may modify, suspend, or discontinue features with reasonable notice where practicable.
  • Third-party DSP timelines, editorial decisions, and policies are outside MusicDB’s control; MusicDB is not responsible for partner actions or delays.

7) Suspension & Termination

  • MusicDB may suspend or terminate accounts that breach these Terms or applicable law.
  • Users may cancel accounts at any time; existing distribution activities and standard takedown procedures will still apply to previously submitted Content.
  • No refunds are issued if termination results from policy or legal violations.

8) Warranties, Liability & Indemnity

  • As-is service: The Platform is provided “as is” and “as available.” MusicDB does not guarantee uninterrupted or error-free operation.
  • Compliance: You warrant that your Content and use of the Platform comply with all applicable laws and do not infringe third-party rights.
  • Indemnity: You agree to indemnify and hold MusicDB, its affiliates, and partners harmless from claims, damages, or costs arising from your Content or breach of these Terms.
  • Liability limits: To the maximum extent permitted by law, MusicDB’s aggregate liability for any claims relating to the Services is limited to the amounts paid by you to MusicDB (or paid by MusicDB to you) in the 12 months preceding the claim. Nothing excludes liability for fraud or gross negligence where exclusion is prohibited by law.

9) Privacy

  • MusicDB processes personal data in accordance with the EU GDPR and applicable Italian privacy law.
  • Subject to legal limits, Users may request access, correction, deletion, or portability of personal data, and may object or withdraw consent where processing is based on consent.

10) Dispute Resolution, Law & Jurisdiction

  • Parties will first attempt to resolve disputes amicably within 30 days of written notice.
  • These Terms are governed by the laws of Italy.
  • Subject to mandatory provisions protecting consumers, the courts of Milan, Italy shall have exclusive jurisdiction.

11) Changes to these Terms

  • We may update these Terms from time to time. Material changes will be notified via the Platform or email. Continued use after the effective date constitutes acceptance.

12) Miscellaneous

  • Severability: If any provision is invalid, the remainder remains in effect.
  • No waiver: Failure to enforce a provision is not a waiver.
  • Entire agreement: These Terms (and referenced policies) constitute the entire agreement between you and MusicDB regarding the Services.

Explicit Acceptance of Specific Clauses (Art. 1341 c.c.)

Under Article 1341(2) of the Italian Civil Code, the following clauses are expressly approved:

  • License grant and takedown procedures (Section 3)
  • Revenue, fees, and payout terms (Section 4)
  • Suspension/termination (Section 7)
  • Limitations of liability and indemnity (Section 8)
  • Jurisdiction and governing law (Section 10)
  • Unilateral updates to Terms (Section 11)
